STATEMENT RELATING TO ACQUISITION OF AUSTRALIA SKYDIVE PTY LTD

Skydive the Beach Group Limited ACN 167 320 470 (" Company ") confirms that the Share Sale Deed dated 10 December 2014 between Skydive the Beach and Beyond Sydney Wollongong Pty Ltd ABN 47 169 433 363 (a fully held subsidiary of the Company) as the Purchaser, and the existing shareholders of Australia Skydive Pty Ltd ABN 14 134 382 004 (" Australia Skydive ") as Vendor, remains in full force and effect, and that the Company is not aware of any reason why the transaction will not complete as described in the Replacement Prospectus dated 5 March 2015.
