Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On December 19, 2013, the Board of Directors of Expeditors International of Washington, Inc. (the “Company”) amended Article IV(1) of the Company's Bylaws, effective immediately, in order to increase the maximum potential size of the Board of Directors from ten (10) to eleven (11) directors.

The foregoing summary is qualified in its entirety by reference to the complete text of the Company's Bylaws, as amended, which are attached to this Form 8-K as Exhibit 3.2.
