F1: This amendment is being filed to correct errors in a Form 4 of the reporting person filed on February 14, 2019 (the "Prior Form 4") as described in this and other footnotes to this Form 4. This amendment amends and restates the Prior Form 4 in its entirety. This line item reflects shares granted under an employment agreement by and between the reporting person and a subsidiary of EXP World Holdings, Inc. (the "Issuer") pursuant to which the Issuer shall issue 50,000 shares of common stock to the reporting person in 16 equal quarterly installments beginning July 17, 2017.

F2: This line item reflects a December 20, 2018 sale by the reporting person of 15,625 shares of Common Stock that was inadvertently omitted from the Prior Form 4.

F3: The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $7.70 to $7.89, inclusive.
