TANGO FLNG – YPF NOTICE OF ALLEGED FORCE MAJEURE

EXMAR has received written notification of force majeure from YPF S.A. (the "Notice") under the Charter Agreement and Services Agreement for the TANGO FLNG between YPF S.A. and EXMAR (the "Agreements").

YPF claims that effects of the coronavirus (COVID-19) pandemic both worldwide and in Argentina have hindered YPF's ability to perform its obligations under the Agreements, including but not limited to its ability to pay the invoices due for services performed for the period starting the second half of March 2020. It results from EXMARS' first quarter results 2020, EBITDA from the TANGO FLNG contributes 36% to total EBITDA for such period.

EXMAR considers the Notice to be unlawful, has reserved its rights and is considering its best option to defend its interests.

Irrespective of the outcome of the dispute with YPF S.A. in respect of the Notice, EXMAR is contemplating several measures to safeguard its liquidity position, which is on the basis of our current forecast, not at risk till the end of 2020.

TANGO FLNG – BERICHTGEVING DOOR YPF VAN VERMEENDE OVERMACHT

EXMAR heeft een schriftelijke kennisgeving ontvangen van YPF S.A. betreffende overmacht (de "Kennisgeving") onder de charterovereenkomst en de dienstverleningsovereenkomst voor de TANGO FLNG, die zijn afgesloten tussen YPF S.A. en EXMAR (de "Overeenkomsten").

Uit de Kennisgeving blijkt dat YPF door de Covid-19 pandemie in Argentinië en wereldwijd zijn verplichtingen zoals bepaald in de Overeenkomsten niet kan nakomen, inclusief de betaling van de facturen voor de geleverde diensten vanaf medio maart 2020.

Uit de eerste kwartaalresultaten 2020 van EXMAR blijkt dat de gegenereerde EBITDA van TANGO FLNG 36% uitmaakt van de totale EBITDA van EXMAR.

EXMAR beschouwt de Kennisgeving als zijnde onwettig, heeft zich alle rechten voorbehouden en bekijkt thans de beste opties om zijn belangen te verdedigen.

Ongeacht de uitkomst van de betwisting wegens overmacht met YPF S.A., bekijkt EXMAR verschillende maatregelen om zijn liquiditeitspositie te handhaven, die gezien de huidige vooruitzichten, niet in gevaar is tot eind 2020.
