NOTICE OF POSTAL BALLOT AND REMOTE E-VOTING INFORMATION
NOTICE IS HEREBY GIVEN THAT in compliance with the provisions of the Companies Act, 2013 read with Rules framed thereunder, the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("the SEBI Listing Regulations"), General Circular No. 09/2023 dated 25th September 2023, No. 09 / 2024 dated 19th September 2024, and other relevant circulars issued by the Ministry of Corporate Afairs, Government of India, and the Securities and Exchange Board of India, the Secretarial Standard-2 on General Meeting issued by the Institute of Company Secretaries of India (including any statutory modiication(s), amendment(s) or re-enactment(s) thereof from time to time), and subject to other applicable laws and regulations, the Company has completed the dispatch of the notice of Postal Ballot on 18th November 2024 through electronic mode to those members whose email addresses are registered with the Company/Registrar & Share TransferAgent/Depository Participants as on Tuesday, 5th November 2024 ("Cut-of date") for seeking approval of the members for appointment of Mr. Jaidit Singh Brar (DIN:10799130) as an Independent Director of the Company for a term of ive consecutive years w.e.f. 4th November 2024 till 3 rd November 2029 by way of special resolution, through remote e-voting only.
Notice along with postal ballot forms and prepaid business envelopes are not being sent for this postal ballot in compliance with MCA and SEBI circulars.
The Company has engaged the services of NSDL for providing remote e-voting facilities to the Members, to enable them to cast their vote electronically and in a secure manner. The Postal Ballot Notice is uploaded on the Company's website www.exideindustries.com, on the website of NSDL at https://www.evoting.nsdl.com and can also be accessed on the website of the designated Stock Exchanges viz. www.bseindia.com and www.nseindia.com.
In accordance with the provisions of the MCA circulars, members can vote only through remote e-voting process. The voting rights shall also be reckoned in proportion to the Members shareholding in the paid-up share capital of the Company on the Cut-of date. Once the vote on a resolution is cast by a Member, the Member will not be allowed to change it subsequently. Any person who is not a shareholder of the Company as on the Cut-of date shall treat the Postal Ballot for information purpose

The Board has appointed Mr.SMGupta (FCS-896/ CP-2053) of M/s S.M. Gupta & Co. Practising Company Secretaries as Scrutinizer to scrutinize the Postal Ballot (including Remote E-voting) process in a fair and transparent manner.
The results of the Postal Ballot will be declared within the stipulated timelines on or before 20th December 2024 and on declaration will be displayed, at the registered oice, iled with the designated stock exchanges and upload on the website of the Company and NSDL. The scrutinizer's decision on the validity of the Postal Ballot will be inal.

Notice is hereby given that pursuant to Section 110 and other applicable provisions of the CompaniesAct, 2013 ("theAct") read with the rules made thereunder and Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosures Requirements) Regulation, 2015, SPML Infra Limited proposed the resolutions for approval of Members by Postal Ballot.

The Company has appointed Mr. Tumul Maheshwari, Company Secretary in practice, having Membership No. 16464 as a Scrutiniser for conducting the postal ballot process in a fair and transparent manner. In compliance with Section 108 of theAct read with Rule 20 of the Companies (Management and Administration) Rules, 2014, the Company has offered e-voting facility, through National Securities Depositories Limited (NSDL) to enable the shareholders to cast their votes electronically. '্নের ্সাচা ঁলী' অবলম্বনে সত্যজিৎ রায়ের পরিচালনায় অ্ু–দুর্গার জীবনের কাহিনি আজও আ্সামর বাঙালির হৃেয়–আসনে। েীর্ঘদিন লসাইট–ক্যামেরসা–অ্যাকশন চেকে দূরে েসাকলেও, সকলের মনে রয়ে গিয়েছে উমসার অভিনয়। ১৯৫৫ সালে মুক্তিপ্রাপ্ত সত্যজিৎ রায়ের '্নের ্সাচা ঁলী'তে তিনি 'অ্ু'র দিদি 'দুর্গা'। কিশোরী বয়সের সেই চরিত্রকে পর্দায় জীবন্ত করেছিলেন উমসা। এর্র তসাকেঁ আর পর্দায় চেখসা যসায়নি। পেশসােত জীবনে তিনি ছিলেন শিক্ষিকসা।

হয়েছিল। আশসা করেছিলসাম সেদিন দিদির সঙ্গে চেখসা হবে। কিন্তু তখনও অসুস্থ েসাকায় উনি আসতে পারেননি। েীর্ঘদিন চেখসা না হলেও ফোনে যোগাযোগ হত। আজ সেটসাও বিচ্ছিন্ন হয়ে চেল।'
সত্যজিৎ–্ুত্র পরিচালক সন্দীপ রায় বললেন, 'যখন ্নের ্সাচা ঁ লী তৈরি হয়, তখন তো আমি বছর দুয়েকের। পরে ছবিতে উমাদির অভিনয় চেখে তো চমকে গিয়েছি। আর কোনও ছবি উনি করেননি। কিন্তু ' ্নের ্সাচা ঁ লী'তে ওঁর অভিনয় কেউ কোনও দিন ভুলতে ্সারবে না। বাবার মুখে পরে শুনেছিলসাম, উমাদিকে বিশেষ কিছু বলতে হত না শুটিংয়ের সময় এবং একটসার বেশি টেকও দিতে হয়নি ওঁকে। আমসানের লেক অ্যাভিনিউয়ের বাড়িতে উনি মাঝে মাঝে আসতেন। েীর্ঘদিন অসুস্থ ছিলেন।'

কলকসাতসা ্ুলিশের কাছে সোমবার পর্যন্ত মোট ১১টি ট্যাবের টসাকসা হসাতসানোর অভিযোগ দায়ের হয়েছে। বড়তলসা থানা এলসাকসার একটি স্কুল কর্তৃপক্ষ সম্প্রতি অভিযোগ করেছেন, তসাঁনের স্কুলে র দু'জন ্ড়ুয়সা ট্যাব কেনার টসাকসা ্সায়নি। এদিন পর্যন্ত মোট ১০৯ জন ্ড়ুয়সা ট্যাবের টসাকসা ্সায়নি। কলকসাতসা ্ুলিশ ইতিমধ্যেই রসাজ্য শিক্ষা দপ্তরকে পোর্টালের লুপহোলের কেসা জানিয়ে সেটি সংশোধন ও আরও সুরক্ষিত করসার ্রসামর্শদিয়েছে। সোমবার দিবাকর েসাস ওরফে বিট্টু, গোপাল রায় ও বিশসাল ঢালিকে আলিপুর আেসালতে তোলসা হলে বিচারক ২৫ নভেম্বর পর্যন্ত ্ুলিশ হেফসাজতের নির্দেশ চেন।
এদিকে বিধাননগর কমিশনারেটের ইলেকট্রনিক্স কমপ্লেক্স থানা এলসাকসা চেকে মসাজসারুল আলমকে গ্রেপ্তার করেছে ঝসাড়গ্রামের ্ুলিশ। সে নদিয়সার চাপড়সার বাসিন্দা। অ্রসাধ করে পালিয়ে এসেছিল ব্যারসাক্ুরে। তসার্র বিধাননগরে এসে েসা–ঢসাকসা চেয়। ঝাড়গ্রাম জেলায় এখনও পর্যন্ত ১২টি স্কুলে র ট্যাবের ৬২টি অ্যাকসাউন্ট হ্যাকের অভিযোগ এসেছে। সেই অভিযোগের ভিত্তিতে ঝসাড়গ্রাম জেলসা ্ুলিশ তেন্ত করে ওই ব্যক্তিকে গ্রেপ্তার করে। তদন্তের জন্য ঝসাড়গ্রাম জেলসা ্ুলিশের পক্ষ চেকে ধৃতকে ১০ দিন ্ুলিশ হেফসাজতে চেয়ে আেসালতে আবেদন জানানো হয়। ঝসাড়গ্রাম জেলসা আেসালতের ভসারপ্রাপ্ত বিচারক ধৃতকে ৮ দিনের ্ুলিশ হেফসাজতে রসাখসার নির্দেশ দিয়েছেন। এই �টনায় মসাজসারুল আলম বাদে আর কসারসা জড়িত, সে ব্যাপারে ধৃতকে জোর জিজ্সাসাবাদ
চালাচ্ছে ্ুলিশ।
অন্যদিকে, ইসলসাম্ুরে ট্যাব–কাণ্ডে সোমবার ধৃতনের ইসলসাম্ুর আেসালতে তোলসা হয়। ধৃতনের দু'দিনের জন্য ্ুলিশ হেফসাজতে ্সাঠসানো হয়েছে। ধৃতনের মধ্যে প্রথম দু'জন ওসমান ও মনসুর এই ট্যাব কেলেঙ্কারি কাণ্ডের মূল হোতসা বলে জানা চেছে। অতিরিক্ত ্ুলিশ সু্সার জানান, ্ূর্ব মেদিনী্ুরের ডিআই অফ স্কুলস শুভাশিস মৈত্রের অভিযোগক্রমে দুটি ্ৃেক মসামলসা দায়ের হয়েছে। একটি মসামলসায় যুক্ত হয়েছে মোজাম্মেল হক। অন্য মসামলসায় অভিযুক্তরসা হল ওসমান আলি, মনসুর আলম, রৌশনাজ্জামান এবং মুক্তা কবির আলি। এ নিয়ে কলকসাতসা ও রাজ্যে ট্যাব কেলেঙ্কারিতে মোট ২৪ জনকে গ্রেপ্তার করসা হয়েছে। এদিন পর্যন্ত রসাজ্য জুড়ে মোট মসামলসা হয়েছে ১৩৫টি এবং কলকসাতসায়

তসাঁরসা জানিয়েছেন, আদিবাসী উন্নয়নের টসাকসা কেন্দ্র বহুদিন আনেই বন্ধ করে দিয়েছে। আনের ব�ঠকে যে সব উন্নয়ন নিয়ে আলোচনা হয়েছিল, তসার অধিকসািংশ কসাজ সম্পূর্ণ হয়েছে। পর্যটন প্রসারে হোমস্টে–তে জোর চেওয়সা হয়েছে। বলসা হয়েছে, আদিবাসীনের খাবার, পোশসাক যাতে হাতের কাছে ্সাওয়সা যসায়, সে ব্যাপারে নজর রসাখতে হবে। আদিবাসী উন্নয়নে সরকারের েরজসা সবসময় খোলসা। এ বিষয়ে কোনও রিংচেখসা হবে না। স্বনির্ভর গোষ্ঠীর কসাজও হচ্ছে। চার মন্ত্রী ছসাড়সা আরও কয়েকজন আদিবাসীনের নিয়ে বক্তব্য পেশ করেছেন। তসানঁের বিভিন্ন দাবিদাওয়সা নিয়েও আলোচনা হয়েছে ব�ঠকে। পর্যালোচনায় উঠে এসেছে এই দাবিদাওয়সার সিংহভসােই হয়ে চেছে। বাকিগুলো নিয়ে ্রসামর্শচাওয়সা হয়েছে।
এবার জঙ্গলমহল–সহ আদিবাসী–অধ্যুষিত এলসাকসায়
রসাজ্য। আদিবাসীনের জন্য যে সমস্ত প্রকল্প রয়েছে, সেগুলি সম্পর্কে বিশনে খোঁজখবর নেন মুখ্যমন্ত্রী। এবং আরও বেশ কিছু প্রকল্প আনা যসায় কি না, সে বিষয়ে বিস্তারিত আলোচনা করেন। মুখ্যমন্ত্রী মমতসা ব্যানার্জি জানিয়েছেন, আদিবাসীনের জঙ্গলের অধিকসার ফিরিয়ে চেওয়সা চেছে। সেই সংক্রান্ত কোনও সমস্যা বা জমির ্সাট্টা নিয়ে কোনও অভিযোগ েসাকলে তসা–ও বিস্তারিত শুনবেন। প্রয়োজনে তসার সমসাধানও হবে। একাধিক প্রস্তাব নিয়ে বিস্তারিত ফিল্ড ওয়ার্ক হবে। একবার রাজ্যের আদিবাসী অঞ্চলগুলিকে কেন্দ্র করে বাড়তি গুরুত্ব দিচ্ছে রসাজ্য সরকসার। প্রয়োজনে আবার ব�ঠক ডসাকসা হবে। জঙ্গলমহলে বেশ কয়েকবার মুখ্যমন্ত্রী গিয়েছিলেন।
ঝসাড়গ্রাম, বাকুঁ ড়সা, ্ুরুলিয়সায় নির্বাচনের সময় মুখ্যমন্ত্রী যান। এছসাড়সা প্রশসাসনিক ব�ঠকও করসা হয়।
নবান্নের সামনে েুবক আেক সোমবার সন্ধ্যায় নবান্ন সভাঘরের
সামনে সন্দেহজনক ভাবে ঘোরাঘুরি করতে দেখে �ুলিশ রেখ সামিরুল নামে এক েুবককে আেক করল। তাঁর বাড়ি হাওড়ার বাঁকড়ায়। জিজ্ঞাসাবাদে তিনি জানান, মুখ্যমন্ত্রীর সঙ্গে দেখা করতে এসেছিলেন। জানা গেছে, তাঁর লকডাউনের সমে থেকে কাপড়ের ব্যবসাে মন্দা চলছে। ঘুরে িাঁড়াতে �ারেন নি। �ারিবারিক অোন্তিও রভেছে। স্ত্রী ছেড়ে চলে
গেছেন। এই নিয়ে তিনি মানসিক কষ্টে রভেছেন। এস্টিন রাতে তাঁকে শিব�ুর থানাে নিয়ে োওো হে। এস্টিন সন্ধ্যায় তঁাকে ঘোরাঘুরি করতে দেখে কর্তব্যরত সািা পোোকের �ুলিশ কর্মীরা তঁাকে জিজ্ঞাসাবাি শুরু করেন। অসংলগ্ন কথা বলাে সন্দেহ হে। এর�র তঁাকে আেক করে থানাে নিয়ে আসা হে।
