Item 2.02 Results of Operations and Financial Condition.

On January 10, 2021, Exelixis, Inc. (“Exelixis”) issued a press release announcing its preliminary unaudited financial results for the quarter and full year ended January 1, 2021, providing financial guidance for the full year ending December 31, 2021, and delivered an update on its business. A copy of such press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference. The preliminary unaudited financial results contained in the press release do not present all information for an understanding of Exelixis’ financial condition as of January 1, 2021 and its results of operations for the quarter and year ended January 1, 2021. The audit of Exelixis’ financial statements for the year ended January 1, 2021 is ongoing and could result in changes to the information in the press release.
