ASX STATEMENT & MEDIA RELEASE - 11 April 2014

APPOINTMENT OF NEW DIRECTORS

CMI Limited (ASX: CMI), today announced Mr Andrew Buckley, formerly Managing Director of Cardno Limited, has been appointed to the Board of CMI as Executive Chairman. Mr Jeff Forbes, formerly CFO of Cardno Limited, has also been appointed as an Independent Non-Executive Director. The appointment of Mr Buckley and Mr Forbes follows the resignations of Mr Danny Herceg and Mr Ross Rolfe.

Andrew Buckley and Jeff Forbes were the former Managing Director and CFO of the ASX 200 listed company Cardno Limted. Andrew was Managing Director and CEO of the company from 1997 and during its growth from a market capitalisation of $35 million in 2004 to around $1 billion in 2014. CMI Director, Ms Leanne Catelan commented, “These appointments will deliver a very positive input into the operations of the CMI business and will help us to develop a comprehensive vision and strategy to take CMI forward and deliver value to the company’s shareholders”.

Mr Buckley noted, “CMI has a lot of potential for growth through expanding market share, plus improving the efficiency of the business model. There is also potential for a targeted acquisition program especially in the electrical products division. We will focus on the opportunity to deliver improved value to the shareholders of the business”.

Mr Buckley will be paid fixed cash remuneration of $300,000 base salary plus superannuation at the statutory rate and may also become entitled to receive short and long term incentives in the future.

Sharyn Williams will step down from the interim Finance Director position that she has held for the past 12 months and will continue in her role as the CFO and Company Secretary.

As a result, it is the Board’s intention to appoint another non-executive Director in the future.

Ms Catelan thanked Mr Danny Herceg and Mr Ross Rolfe for their service on the CMI board and in particular recognised Mr Herceg’s seven year contribution to the company.

Andrew Buckley: Andrew was CEO and Managing Director of Cardno Limited an ASX200 listed company for 17 years. When he joined the company it had around 200 staff and a turnover of $14 million, and when he left, the company had grown to around 8000 staff and a turnover of around $1.2 billion.

Andrew was responsible for all global group activities at Cardno, including performance, profitability, growth, marketing, operations, client relations, quality and technical development. In addition to managing the company, Andrew spent a considerable amount of time interacting with the investment community, including giving presentations and roadshows, and hosting discussions with industry analysts and shareholders.

Mr Buckley has experience in engineering and environmental services to many different industries including oil and gas, mining, private sector development, and international development assistance. Mr Buckley also brings international experience in North and South America, Africa, and UK and Europe to CMI.

Andrew has a Bachelor of Engineering (Hons) from the University of Queensland, is a Fellow of the AICD and the Institution Of Engineers Australia.

Jeff Forbes: Jeff retired in March 2013 as an Executive Director, CFO and Company Secretary of Cardno Limited, an ASX200 listed global infrastructure services company, with a market capitalisation of around $1 billion.

Prior to joining Cardno, Jeff worked in the mining and resources sector for over 30 years. Jeff has significant experience in the financing and development of resource projects in both Australia and the Asia Pacific region. He has held senior positions both domestically and internationally. During his career Jeff has worked for a number of major resource companies including Rio Tinto, CSR and BHP.

Jeff has extensive listed company experience as an executive director, non-executive director and company secretary as well as strong global financial management and merger and acquisition experience.

Jeff is also the non-executive Chairman of Talon Petroleum Limited (TPD:AX), a non-executive director of Affinity Education Limited (AFJ:AX) and a non-executive director of Horizon Housing Group.

Jeff has a B. Comm. from the University of Newcastle, is a Graduate of the AICD and a Member of the AusIMM.
