Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 26, 2020, Marran H. Ogilvie informed Evolution Petroleum Corporation, a Nevada corporation (the “Company”), that she will not stand for re-election as a director when her term expires at the Company’s annual meeting of stockholders to be held in December 2020. Ms. Ogilvie has chosen not to stand for re-election as a director in order to pursue other opportunities. The Company will not nominate another candidate at this time but may appoint a replacement at a future date. Ms. Ogilvie’s decision not to stand for re-election was not the result of any disagreement with the Company.
