PLACEMENT OF 4 MILLION SHARES AT 25 CENTS TO RAISE \$1.0 MILLION

Westonia Mines Limited ("Westonia") is pleased to announce the placement of 4 million ordinary shares in the Company at 25 cents each to Lion Selection Group Limited. The issue was made under s708 of the Corporations Act. As a result of the placement Lion Selection Group's holding rises to 38,546,500 shares representing 36.64% of the issued capital of the Company.

Funds will be used for pre-development activities at the Westonia Gold Project, pending finalisation of bank debt funding for the capital requirements of the project.

NOTICE UNDER SECTION 708A(6) OF THE CORPORATIONS ACT

On 20 August 2004. Westonia Mines Limited ABN 74 084 669 036 (Company) issued 4,000,000 fully paid ordinary shares by way of a private placement. The Company relies on section 708A(5) of the Corporations Act (Act) in relation to the issue.

In accordance with section 708A(6) the following information is provided:

• $(a)$ this notice is given within 5 business days after the day of the Issue;
• the Issue is without disclosure to investors under Part 6D.2 of the Act; $(b)$
• this notice is given under section 708A(5)(e) of the Act; $(c)$
• as at the date of this notice, the company has complied with the provisions of Chapter 2M of $(d)$ the Act as they apply to the Company and section 674 of the Act;
• as at the date of this notice, there is no excluded information to be provided in accordance $(e)$ with section 708A(7) and (8) of the Act.
