BOARD AND SENIOR MANAGEMENT CHANGES TO SUPPORT NEXT PHASE OF GROWTH

Experienced resources director Mal Randall appointed Non-Executive Chair as Evion strengthens leadership ahead of U.S. fluorspar advancement, graphite FID and global project review

Key Highlights

  • Experienced resources director Malcolm (Mal) Randall appointed Non-Executive Chair, bringing over 45 years of technical, corporate, operations and marketing experience across the resources sector, including 25+ years with the Rio Tinto group. Mr Randall is currently Chair of Argosy Minerals Ltd (ASX: AGY), a lithium producer in Argentina, and a Non-Executive Director of Hastings Technology Metals Ltd (ASX: HAS), an Australian rare earths development company, and Murchison Gold Ltd.
  • Mark Fletcher appointed Head of Geology, strengthening in-house technical capability as the Company advances the Carp Fluorspar Project in Nevada and approaches a Final Investment Decision on its Maniry Graphite Project in Madagascar. Mark will also assist the company as it evaluates additional global project opportunities.
  • Heather Zampatti transitions from Non-Executive Chair to Non-Executive Director, ensuring continuity of board knowledge and corporate governance through the Company's current growth phase.
  • Warrick Hazeldine steps down from the Board after two years of service to pursue other opportunities. The Board thanks Mr Hazeldine for his significant contribution to the Company during a transformative period.

Appointment of Mal Randall as Non-Executive Chair

Mr Malcolm (Mal) Randall has been appointed Non-Executive Chair of the Company, effective [date].

Mr Randall is a Fellow of the Australian Institute of Company Directors with more than 45 years of experience in technical, corporate, operations and marketing roles across the resources sector. He spent over 25 years with the Rio Tinto group of companies in various senior roles, including at Hamersley Iron, Argyle Diamonds and as a commercial advisor to the Hope Downs project.

Mr Randall is currently Chair of Argosy Minerals Ltd (ASX: AGY), a lithium producer in Argentina, and Non-Executive Director of Hastings Technology Metals Ltd (ASX: HAS), an Australian rare earths development company, and Murchison Gold Ltd. He brings substantial board-level experience at both the Chair and NED levels across a diverse range of commodities including base metals and gold, iron ore, diamonds, mineral sands, uranium, manganese, lithium, rare earths, graphite and sulphate of potash. His experience spans commercial governance, strategy, project management, business development, M&A and IPO activities, and he is well known across the Australian broking and institutional sectors.

Previous Chair roles include Summit Resources Ltd (uranium), MZI Resources Ltd (mineral sands), Iron Ore Holdings Ltd, Kalium Lakes Ltd (sulphate of potash) and Kingsland Minerals (graphite and uranium).

Mr Randall holds a Diploma in Applied Chemistry from Melbourne.

Transition of Heather Zampatti to Non-Executive Director

Ms Heather Zampatti will transition from Non-Executive Chair to Non-Executive Director, effective concurrent with Mr Randall's appointment. Ms Zampatti's continued involvement on the Board ensures valuable continuity of corporate knowledge, governance oversight and stakeholder relationships during this important period for the Company.

Departure of Warrick Hazeldine

Mr Warrick Hazeldine has stepped down from the Board, effective 19 May 2026 to pursue other opportunities. Warrick has played an important role in introducing a range of investors and strategic partners to Evion during his tenure.

Appointment of Mark Fletcher as Head of Geology

Mr Mark Fletcher has been appointed Head of Geology, effective 19 May 2026, strengthening the Company's in-house technical capability at a pivotal time.

Mr Fletcher is a geologist with 29 years of experience across the mining and exploration industry. His career highlights include senior roles with BHP Billiton and WMC Resources, where he led the discovery team at the Olympia nickel sulphide prospect (Collurabbie Project) and managed near-mine exploration at the Mt Keith operation.

Mr Fletcher holds a Bachelor of Applied Science in Applied Geology from RMIT and a Master of Science in Ore Deposit Geology and Evaluation from the University of Western Australia. He is a Fellow of the Society of Economic Geologists and a Member of the Australasian Institute of Geoscientists.

His broad commodity experience - spanning gold, nickel sulphide and laterite, epithermal gold/silver, Cu-Au (IOCG-type), Ag-Pb-Zn, bauxite, manganese, iron ore and coal - together with demonstrated international project management capability in Central America and Europe, makes him well suited to support the Company's expanding multi-commodity, multi-jurisdiction portfolio.

Commenting on the appointment, Mr Round said:

"Mark's appointment reflects our commitment to building the in-house geological capability required to deliver on our growth strategy. With the Carp Fluorspar Project in Nevada entering its next phase of field work, the Maniry Graphite Project approaching FID, and a pipeline of global project opportunities under review, having a technically accomplished geologist of Mark's calibre leading our exploration and technical programs is a significant step forward for the Company."

Mick Ryan - Continued Project Management Role

Mr Mick Ryan continues to work with the Company in a project management capacity across Evion's global portfolio. Mr Ryan brings over 40 years of experience in the mining industry spanning operational, project management and consulting metallurgist roles across various commodities and international locations. He has held project management roles in nickel, niobium and gold studies for Australian and African projects, and as a metallurgist has been at the forefront of a number of complex operational projects and technologies including flotation of base metals, nickel laterite hydrometallurgy, heap leaching of gold and copper, and chloride leach technologies. Mr Ryan currently heads up a diverse team of consultants and contractors delivering the Maniry Graphite Project in Madagascar and is assisting the company review project opportunities across exploration, mining and processing.
