F1: On March 6, 2015, the Reporting Person sold 1,928,646 shares of the Issuer's common stock and his brother sold 909,548 shares of the Issuer's common stock to Symmetric Capital LLC pursuant to a Stock Purchase Agreement among the parties dated March 6, 2015. In accordance with such Stock Purchase Agreement, upon the closing of the transaction, the Reporting Person (a) resigned as the Issuer's Chairman of the Board, Chief Executive Officer and President, (b) was appointed the Issuer's Executive Vice President, and (c) remains a director of the Issuer.
