Northeast Utilities doing business as Eversource Energy Annual Shareholder Meeting Notice

Northeast Utilities doing business as Eversource Energy Annual Meeting of Shareholders will be held on April 29, 2015 at the Infinity Hall, 32 Front Street, Hartford, CT at 10:30 a.m.

Proposals to be voted on at the meeting are listed below along with the Board of Trustees’ recommendations.

The Board of Trustees recommends a vote FOR all nominees and FOR Proposals 2, 3 and 4:

12 nominees as Trustees, the names of whom are set forth in the Company’s
proxy statement, for the ensuing year. |

| 2. | To approve
the proposed amendment to our Declaration of Trust to change the legal
name of the Company from Northeast Utilities to Eversource
Energy. |
| 3. | To
consider an advisory proposal approving the compensation of our Named
Executive Officers. |
| 4. | To ratify the
selection of Deloitte & Touche LLP as the independent registered
public accounting firm for 2015. |
