Other Events.

On February 3, 2016, Eversource Energy issued a news release announcing that the Board of Trustees had approved an increase in the quarterly dividend to $0.445 per share payable on March 31, 2016, to shareholders of record at the close of business on March 2, 2016. A copy of the news release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
