Other Events.

On February 10, 2009, Northeast Utilities issued a news release announcing that its Board of Trustees had approved an increase in the quarterly dividend to $0.2375 per share payable on March 31, 2009 to shareholders of record at the close of business on March 1, 2009. A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
