Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 17, 2009, Shirley M. Payne, Vice President – Accounting and Controller of Northeast Utilities (NU), resigned her position, effective April 1, 2009, and was appointed Vice President – Shared Services of Northeast Utilities Service Company, a subsidiary of NU, also effective April 1, 2009.

On February 17, 2009, the NU Board of Trustees appointed David R. McHale, currently Executive Vice President and Chief Financial Officer of NU, as acting principal accounting officer of NU, effective April 1, 2009.
