Other Events.

On March 16, 2009, Northeast Utilities issued a news release announcing a public offering of its common shares. A copy of the news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Also attached is the consent of Day Pitney LLP to the reference to its name under the caption “Legal Opinions” in the preliminary prospectus supplement dated March 16, 2009 and the related final prospectus supplement regarding the public offering of common shares of Northeast Utilities.
