Commencing at the Effective Time the following transactions will occur and be deemed to occur, on or before the Effective date, in the following sequence without further act or formality:

(a) Each GMR Common Share in respect of which a registered GMR Shareholder has exercised Dissent Rights and for which the registered GMR Shareholder is ultimately entitled to be paid fair value (each a “Dissent Share”) shall be repurchased by GMR for cancellation in consideration for a debt-claim against GMR to be paid the fair value of such Dissent Share in accordance with Article 4 of this Plan of Arrangement and such Dissent Share shall thereupon be cancelled;

(b) GMR’s authorized and issued share capital shall be reorganized as follows:

(i) the Notice of Articles and articles of GMR shall be amended to create a new class of shares without par value, of which an unlimited number may be issued and which shall be designated the “Class A Shares” (the “Class A Shares”), which shall have the same rights and restrictions as the GMR Common Shares;

Spinco 2 shall be revised accordingly.

3.3 No Fractional Shares or Warrants

(a) No fractional Class A Shares, Spinco 1 Common Shares or Spinco 2 Common Shares shall be distributed by GMR to a GMR Shareholder on the Share Distribution. If GMR would otherwise be required to distribute to an GMR Shareholder an aggregate number of Class A Shares, Spinco 1 Common Shares or Spinco 2 Common Shares, as applicable, that is not a round number, then the number of Class A Shares, Spinco 1 Common Shares or Spinco 2 Common Shares distributable to that GMR Shareholder shall be rounded down to the next lesser whole number and that GMR Shareholder shall not receive any compensation in respect thereof (the “Round Down Provision”). Notwithstanding the foregoing, if the Round Down Provision would otherwise result in the number of Class A Shares, Spinco 1 Common Shares or Spinco 2 Common Shares, as applicable, distributable to a particular GMR Shareholder being rounded down from one to nil, then the Round Down Provision shall not apply and GMR shall distribute one Class A Shares, Spinco 1 Common Share or Spinco 2 Common Share, as applicable, to that GMR Shareholder.

(b) No fractional Spinco 1 Warrants or Spinco 2 Warrants shall be distributed by GMR to a GMR Warrantholder on the Warrant Distribution. If GMR would otherwise be required to distribute to a GMR Warrantholder an aggregate number of Spinco 1 Warrants or Spinco 2 Warrants, as applicable, that is not a round number, then the number of Spinco 1 Warrants or Spinco 2 Warrants distributable to that GMR Warrantholder shall be rounded down to the next lesser whole number and that GMR Warrantholder shall not receive any compensation in respect thereof (the “Round Down Provision”). Notwithstanding the foregoing, if the Round Down Provision would otherwise result in the number of Spinco 1 Warrants or Spinco 2 Warrants, as applicable, distributable to a particular GMR Warrantholder being rounded down from one to nil, then the Round Down Provision shall not apply and GMR shall distribute one Spinco 1 Warrant or Spinco 2 Warrant, as applicable, to that GMR Warrantholder.

3.4 Extinction of Rights

Any instrument or certificate which immediately prior to the Effective Time represented outstanding GMR Common Shares that were exchanged pursuant to Section 3.2 or an affidavit of loss and bond or other indemnity pursuant to Section 4.2, shall, on or prior to the sixth (6th) anniversary of the Effective Date, cease to represent a claim or interest of any kind or nature against GMR. On such date, the aggregate Spinco 1 Common Shares or Spinco 2 Common Shares, as applicable, to which the former GMR Shareholder referred to in the preceding sentence was ultimately entitled shall be deemed to have been surrendered for no consideration to GMR and shall be returned to GMR. None of GMR or the GMR Subsidiaries shall be liable to any person in respect of any amount for Spinco 1 Common Shares or Spinco 2 Common Shares delivered to a public official pursuant to any applicable abandoned property, escheat or similar law.

3.5 Withholding

(a) GMR and the GMR Subsidiaries, as the case may be, will be entitled to deduct and withhold from any consideration otherwise payable to any GMR Shareholder under this Plan of Arrangement (including any payment to GMR Shareholders exercising Dissent Rights) such amounts as GMR or the GMR Subsidiaries are permitted or required to deduct and withhold with respect to such payment under the Tax Act and the rules and regulations promulgated thereunder, or any provision of any provincial, state, local or foreign tax Law

A-6

3.6 Post-Effective Date Procedures

Notwithstanding that the transactions and events set out in Subsection 3.2 shall occur and shall be deemed to occur in the chronological order therein set out without any act or formality, each of the Parties shall be required to make, do and execute or cause and procure to be made, done and executed all such further acts, deeds, agreements, transfers, assurances, instruments or documents as may be required to give effect to, or further document or evidence, any of the transactions or event set out in Section 3.2 including, without limitation, any resolutions of directors authorizing the issue, transfer or redemption of shares, any share transfer powers evidencing the transfer of shares and any receipt therefore, and any necessary additions to or deletions from share registers.

All Spinco 1 Common Shares or Spinco 2 Common Shares issued pursuant hereto shall be deemed to be validly issued and outstanding as fully paid and non-assessable shares for all purposes of the BCBCA.

ARTICLE 4 DISSENT RIGHTS

(the "Dissent Procedures").

4.3 Failure to Comply with Dissent Procedures

Each registered GMR Shareholder who fails to exercise the registered GMR Shareholder’s Dissent Right strictly in accordance with the Dissent Procedures will be deemed for all purposes to have:

(a) failed to exercise the Dissent Right validly, and consequently to have waived the Dissent Right; and
(b) thereby ceased to be entitled to be paid the fair market value of the registered GMR Shareholder’s GMR Common Shares.

4.4 Waiver of Dissent Right

Each registered GMR Shareholder who waives or is deemed to waive the registered GMR Shareholder’s Dissent Right or is otherwise for any reason ultimately not entitled to be paid the fair market value of the GMR Common Shares registered in the name of the registered GMR Shareholder by GMR pursuant to the Dissent Right, shall be deemed to have participated in the Arrangement.
