The 88[th] Annual General Meeting (“AGM”) of the members of the Company was held on Wednesday, August 25, 2021 at 3.00 pm (IST) through Video Conferencing.

Pursuant to the resolution passed in the AGM by the members of the Company, S R B C & CO LLP, Chartered Accountants (Registration No. 324982E/E300003), have been appointed as Auditors of the Company, from the conclusion of the Eighty-Eighth (88th) Annual General Meeting to hold such office for a period of five (5) years till the conclusion of the Ninety-Third (93rd) Annual General Meeting to be held in year 2026.

Further, in continuation of our earlier intimation dated August 31, 2020, wish to inform you that the members of the Company in the AGM passed a special resolution approving the appointment of Mr. Rajesh Joshi (DIN 08855031), as Managing Director & CEO of the Company for a period of three (3) years with effect from September 1, 2020 on such terms and conditions as enumerated in the special resolution read with the explanatory statement thereto.

We also wish to confirm that Mr. Rajesh Joshi has not been debarred from holding the office of Director by virtue of any SEBI order or any other such authority. He is not related to the directors of the Company and is not holding any shares in the Company
