ITEM 8.01 OTHER On January 3, 2011, the registrant issued a news release announcing that it has acquired the business and operations of Heartland Crop Insurance, Inc, a managing general agent, for $55 million, plus the agreed upon value of the net assets of the agency. In addition, a contingent fee of up to $13.5 million may be payable based upon the achievement of certain financial targets, including business retention and underwriting results.
