RICHFIELD GROUP LIMITED - RETURN OF CAPITAL

Participating Organisations are advised that the return of capital in Richfield Group Limited (the "Company") became effective today, Thursday 28 October 2004.

The return of capital is by way of an in specie distribution of 4,646,760 fully paid ordinary shares in Richfield Shipping Pty Limited ("Richfield Shipping") shares. The distribution is on the basis of one Richfield Shipping share for every 100 shares held in the Company.

Fractions will be disregarded.

The return of capital is subject to the conditions set out in the share sale agreement for the acquisition of Richfield Shipping being satisfied.

The following timetable will apply.

27 October 2004	Shareholder approval.
28 October 2004	Trading in securities commences on an "ex return of capital" basis. ASX Code: RCH
4 November 2004	Record date for identifying shareholders entitled to participate in the return of capital.
