COMUNICATO AI SENSI DELL'ART. 144-OCTIES, COMMA 2, DEL REGOLAMENTO CONSOB N. 11971 DEL 14 MAGGIO 1999

Con riferimento alla nomina del Collegio Sindacale prevista al quarto punto all'ordine del giorno dell'Assemblea ordinaria di Eurotech S.p.A. convocata per il giorno 28 aprile 2020 in unica convocazione, si informa, ai sensi dell'art. 144-octies, comma 2, del Regolamento Consob n. 11971 del 14 maggio 1999 come successivamente modificato (il "Regolamento Emittenti Consob") che, alla data del 3 aprile 2020, termine previsto per la presentazione delle liste, è stata presentata soltanto una lista di candidati alla carica di Sindaco da parte del socio EMERA S.r.l.

Pertanto, ai sensi dell'art. 144-sexies, comma 5, del Regolamento Emittenti Consob, nonché ai sensi dell'art. 26 dello Statuto sociale, il termine entro il quale potranno essere presentate ulteriori liste per la nomina del Collegio Sindacale, corredate dalla documentazione richiesta dalle disposizioni anche statutarie applicabili, è prorogato a lunedì 6 aprile 2020 e la soglia minima per la presentazione delle liste è ridotta alla metà, ossia al 1% del capitale sociale.

PRESS RELEASE PURSUANT TO CONSOB REGULATION N. 11971 OF 14 MAY 1999, ART. 144-OCTIES, PARAGRAPH 2

With reference to the appointment of the Board of Statutory Auditors provided for in the fourth item on the agenda of the Ordinary Shareholders' Meeting of Eurotech S.p.A. convened on 28 April 2020 in single call, we inform, pursuant to art. 144-octies, paragraph 2, of Consob Regulation no. 11971 of 14 May 1999 as subsequently amended (the "Consob Issuers' Regulation") that, as at 3 April 2020, the deadline for the submission of lists, only one list of candidates for the office of Statutory Auditor was submitted by the shareholder EMERA S.r.l..

Therefore, pursuant to art. 144-sexies, paragraph 5, of the Consob Issuers' Regulations, as well as pursuant to art. 26 of the Articles of Association, the deadline within which further lists may be submitted for the appointment of the Board of Statutory Auditors, accompanied by the documentation required by the applicable provisions of the Articles of Association, is extended to Monday 6 April 2020 and the minimum threshold for the submission of lists is reduced by half, i.e. 1% of the share capital.
