EUROTECH: PATTO PARASOCIALE RELATIVO AD EUROTECH

Amaro (Udine), 31 ottobre 2023 - Si rende noto che, in data odierna, Eurotech S.p.A. ha ricevuto comunicazione dell'intervenuta sottoscrizione di un patto parasociale ai sensi dell'art. 122, commi 1 e 5, del D.Lgs. 58/1998 relativo ad azioni Eurotech (il "Patto").

Si allega al presente comunicato l'estratto del Patto ai sensi dell'art. 129 del Regolamento Consob adottato con delibera n. 11971 del 14 maggio 1999 ("Regolamento Emittenti").

EUROTECH: SHAREHOLDERS' AGREEMENT CONCERNING EUROTECH

Amaro (Italy) – 31 October 2023 – Eurotech S.p.A. announces today receipt of a communication regarding the execution of a shareholders' agreement pursuant to Article 122, paragraphs 1 and 5, of the Legislative Decree no. 58/1998 concerning Eurotech's shares (the "Agreement").

An extract of the Agreement pursuant to Article 129 of Consob Regulation adopted through resolution No. 11971 of May 14, 1999 ("Issuers' Regulation") is attached to this press release.

Estratto pubblicato ai sensi dell'art. 122 del D.Lgs. 24 febbraio 1998, n. 58 (il "TUF") e dell'art. 129 del Regolamento CONSOB n. 11971/1999 (il "Regolamento Emittenti")

Si rende noto che in data 26 ottobre 2023 Emera S.r.l. (la "Società"), nonché tutti gli attuali soci della medesima Società, ovverosia Alisei Forinvestments S.r.l., Buenafortuna Capital S.r.l., Bluenergy Group S.p.A., C.G.I. Holding S.r.l. e New Industry S.r.l., hanno sottoscritto un patto parasociale ai sensi dell'art. 122, commi 1 e 5, del TUF (il "Patto"), volto a disciplinare i reciproci rapporti e interessi in relazione alla corporate governance della Società - il cui principale asset patrimoniale è costituito da azioni ordinarie di Eurotech S.p.A., quotata presso l'Euronext STAR Milan ("Eurotech" o l'"Emittente") -, nonché le modalità di circolazione delle partecipazioni di rispettiva titolarità nella Società.

Le pattuizioni parasociali contenute nel Patto hanno ad oggetto, oltre alle partecipazioni detenute nella Società dalle parti del Patto, tutte le n. 6.437.721 azioni ordinarie dell'Emittente, rappresentative di circa il 18,126% del capitale sociale e dei diritti di voto dell'Emittente, detenute dalla Società.
