Entry into a Material Definitive Agreement.

As previously disclosed in a Form 6-K filed with the Securities and Exchange Commission on April 2, 2018 , Euro Tech Holdings Company Limited (the “Company”) entered into an Equity Transfer Agreement (the “Agreement”) with Ms. Jin Lijuan (the “Purchaser”), o n March 5, 2018, to sell its 20% equity stake of Zhejiang Jiahuan Electronics Co., Ltd. for a purchase price of RMB$31,312,500 (the “Purchase Price”). In accordance with the terms of the Agreement, all approvals and registrations with the relevant governmental authorities were obtained, the closing of the transaction has been completed, and the Purchaser has paid the Purchase Price to the Company, in full.
