Conversion Notice - Issue of Equity

Eurasia hereby acknowledges receipt of a notice to convert a portion of the outstanding principal on the Convertible Loan Agreement dated 15 May 2017 and subject to amendments as set out in RNS dated 15 December 2017, between YA II PN, Ltd. ("YA II") and Eurasia, into ordinary shares in the capital of the Company, according to the conditions outlined in that agreement (please see RNS dated 19 May 2017).

As per the conversion notice dated 26 February 2018 a total amount of US$50,000 (£35,775) is converted at a share price of 0.34p being the fixed conversion price and the lower of the fixed conversion price and the lowest daily VWAP during the 5 trading days immediately preceding the date of the conversion notice.

Accordingly, the Company has today issued a total of 10,522,058 Ordinary Shares (the "New Shares") in favour of YA II PN Ltd. Application will be made for the New Shares to be admitted to trading on AIM and dealings in these shares are expected to commence on or around 06 March 2018.

Following the issue of the new shares, the total number of issued ordinary shares in the Company is 1,858,369,208 ordinary shares and consequently the total number of voting rights in the Company is  1,858,369,208. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in the share capital of the Company under the Disclosure and Transparency Rules.
