Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 14, 2021, Edith W. Cooper, a member of the Board of Directors of Etsy, Inc. ("Etsy"), informed Etsy of her decision to resign as a director of Etsy, effective September 14, 2021, in order to focus on other commitments. Ms. Cooper's decision to resign from the Board of Directors was not the result of any disagreement relating to Etsy’s operations, policies, or practices. Etsy thanks Ms. Cooper for her commitment and service to Etsy.
