EXPLANATORY NOTE

On July 1, 2025, eToro Group Ltd. (the “Company”) issued a press release relating to a three-year $250 million senior unsecured revolving credit facility, consistent with the indicative terms previously disclosed in its prospectus dated May 13, 2025, filed with the Securities and Exchange Commission. A copy of the press release announcing such credit facility is furnished as Exhibit 99.1 herewith.

This Report of Foreign Private Issuer on Form 6-K is incorporated by reference into the Company’s Registration Statement on Form S-8 (File No. 333-287430).
