APPEND ANNOUNCEMENT FROM ETIHAD ETISALAT (MOBILY) WITH RESPECT TO THE POSSIBILITY OF GETTING INTO NEGOTIATIONS TO ACQUIRE AN INTEREST IN Etihad Atheeb Telecom (GO)

Further to the announcements dated 2 June 2013 regarding Etihad Etisalt Co. Mobily ( herein after referred to as the Company ) and Etihad Atheeb Telecom (GO) exploring a wider level of cooperation and the possibility of preliminary non-binding negotiations which may or may not lead to a subsidiary of the Company acquiring an interest in Etihad Atheeb Telecom (GO), we announce that Bayanat Al Oula for Network Services ( herein after referred to as Bayanat) -a subsidiary of the Company, and Etihad Atheeb Telecom (GO) will submit to the Capital Market Authority for approval a draft Memorandum of Understanding (MoU) outlining the basis for certain of the founding shareholders of Etihad Atheeb Telecom (GO) and Bayanat to enter into definitive agreements for Bayanat to acquire a )controlling( interest in Etihad Atheeb Telecom (GO). Amongst other things, the MoU provides that the proposed transaction is subject to conditions, including required regulatory approvals and the CITC and satisfactory completion of a )commercial, financial, legal and technical( due diligence exercise.
