Subject: Intimation under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 – Dilution of Stake in Ethos Lifestyle Private Limited (formerly RF Brands Private Limited)

Dear Sir/Madam,

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we wish to inform you that there has been a change in the shareholding of Ethos Lifestyle Private Limited (formerly RF Brands Private Limited), a wholly owned subsidiary of the Company.

Consequent to a further allotment of shares by way of preferential issue by Ethos Lifestyle Private Limited, the Company’s shareholding has been diluted from 100% to 95%. Accordingly, Ethos Lifestyle Private Limited ceases to be a wholly owned subsidiary of the Company and shall henceforth be classified as a subsidiary with effect from July 16, 2025.

Disclosure of information pursuant to Regulation 30 of the SEBI Listing Regulations read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 in respect of matter stated above is given as under:-
