Greetings from Ethos.

Further to our letter dated October 31, 2023 intimating you about the meeting of the Fund Raising Committee of the Board of Directors of the Company (the “ Fund Raising Committee ”) to be held on November 3, 2023 in respect of the Issue, we wish to inform you that the Fund Raising Committee at its meeting held today i.e. November 3, 2023 has, approved allotment of 11,31,210 (Eleven lacs thirty one thousand two hundred and ten) Equity Shares of face value of Rs. 10.00 each to eligible qualified institutional buyers at the issue price of Rs. 1,547 per Equity Share, i.e. at a premium of Rs.1,537 per Equity Share, which reflects a discount of Rs. 80.49 (i.e. 4.95%) on the floor price of Rs. 1,627.49 calculated with reference to the relevant date of October 31, 2023, aggregating to Rs. 174,99,81,870 (Rupees One hundred and Seventy Four Crores ninety nine lacs eighty one thousand eight hundred and seventy only), pursuant to the Issue.

Further, the list of the allottees who have been allotted more than five percent (5%) of the Equity Shares offered in the Issue is enclosed herewith and marked as Annexure A.

Pursuant to the allotment of Equity Shares in the Issue, the paid-up equity share capital of the Company stands increased to Rs. 24,48,04,430 /- (Rupees twenty four crores forty eight lacs four thousand four hundred and thirty only) divided into 2,44,80,443 fully paid-up equity shares having a face value of Rs. 10 (Rupees ten only) each.

The meeting of the Fund Raising Committee commenced at 11.30 p.m. (IST) and concluded at 11:40 p.m. (IST). We request you to take the above on record and the same be treated as compliance under the applicable provisions of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended.
