("Etherstack" or the "Company")
Convertible Note Issue
Etherstack plc advises it has successfully completed a Convertible Note issue raising AUD$ 2 million. The Convertible Notes have been issued to LHC Capital Pty Limited or its nominees.
Funds raised from the issue will be used to provide working capital.
The key terms of the issue are set out below:

6,666,667 Convertible Notes have been issued at a face value of AUD $0.30. If converted, the Convertible Notes shall convert into 6,666,667 fully paid ordinary shares in the capital of Etherstack plc.

The Notes are Convertible at the note holders’ option at any time prior to maturity, being 2 years after the date of issue.

The Convertible Notes may be repaid prior to maturity. Early repayment within 12 months of the issue date is possible if the Company and the Convertible Note holder agree. Early repayment later than 12 months after the issue date is possible at the option of Etherstack plc.

The Convertible Notes are unlisted.
