STRATEGIC PARTNERSHIP AGREEMENT

 ESTRELLA AND TIANJIN DATONG XINTIAN INVESTMENT CO. LTD. ENTER STRATEGIC PARTNERSHIP

Estrella Resources Limited (ASX:ESR) (Estrella or the Company), is pleased to announce that further to its announcement of 13 January 2017, it has executed a Strategic Partnership Agreement Memorandum of Understanding with Tianjin Datong Xintian Investment Co. Ltd. (MOU). Estrella and Tianjin Datong Xintian Investment Co. Ltd. have expressed a willingness to establish a cooperative relationship to pursue mutual beneficial arrangements on the basis of mutual consent, equality and integrity. In furtherance of that desire, the parties have agreed to establish the preliminary framework of cooperation for a strategic partnership regarding how the parties can acquire, explore, develop and finance their mineral asset portfolio’s in Australia. The agreement between the parties is nonbinding allowing the Company to seek superior outcomes for shareholders as an ideal final platform.

Tianjin Datong Xintian Investment Co. Ltd. is a large diversified industrial and resources conglomerate headquartered in Tianjin, and it is the final controlling shareholder of Guangzhou Huiji Industrial Co. Ltd., China with assets in excess of AUD$4 BIL. Tianjin Datong Xintian Investment Co. Ltd. has interests in mineral resources (Guangzhou Huiji Industrial Co. Ltd. via controlling shareholder interest), energy (natural gas and coal), property development, pharmaceutical manufacturing, financial services and investment.

Guangzhou Huiji Industrial Co. Ltd. assets include mining operations in Sichuan Province producing gold. Guangzhou Huiji Industrial Co. Ltd. is looking to expand its asset portfolio abroad and into “rare and precious value” minerals with Australia a preferred destination.

Key area of Cooperation

1. Estrella will offer advice and assistance to Tianjin Datong Xintian Investment Co. Ltd. in the area of identifying potential or prospective equity partners in Australia.

2. Tianjin Datong Xintian Investment Co. Ltd. will help identify prospective business partners and give recommendations to Estrella in order to assist Estrella in assessing and obtaining prospective business partners in China.

3. Estrella will treat Tianjin Datong Xintian Investment Co. Ltd. as an important finance and mineral resources partner with respect to raising capital and acquiring, exploring and developing mineral assets in Australia. Tianjin Datong Xintian Investment Co. Ltd. Will treat Estrella as a business partner and shall provide it with assistance through accessing its domestic and international network and financial resources.
