BOARD CHANGES

The Company announces that Tommy Breen will retire as a Non-Executive Director and Senior Independent Director of the Essentra plc Board, with effect from the conclusion of the Annual General Meeting (AGM) to be held on Thursday 20 May 2021.

Tommy leaves having served as a Non-Executive Director for six years and as Senior Independent Director. As recently announced, Tommy has taken on the role of Chairman designate at Homeserve plc, and his retirement from the Board of Essentra plc will leave Tommy more time required to commit to his role with Homeserve plc.

Paul Lester, Chairman, said "I would like to thank Tommy for his significant contribution that he has made to the Company, in particular for his role as Senior Independent Director, during a time in which the Company has been through significant changes. The Board and I would like to wish Tommy every success in his new role."

The Board are pleased to announce that Mary Reilly will become Senior Independent Director upon Tommy's retirement, subject to Mary's re-election at the AGM. Mary is also Chair of the Audit & Risk Committee and Board Employee Champion. Mary has extensive experience of accounting, finance and international management as well as the necessary skills to fulfil the role of Senior Independent Director. Paul Lester commented "The Board are pleased to announce Mary's appointment as Senior Independent Director. Mary's plc experience and interpersonal skills make her ideally suited for the role of Senior Independent Director."

The Nomination Committee has initiated a process to appoint a new Non-Executive Director.
