Change of Auditor

Essentially Group PLC (AQSE: ESSN) a leading health food company in the UAE delivering high quality nutrition (wellness shots, functional juices, lemonades, nut milks, single origin fruit juices and healthy snacks) to its customers, is pleased to announce that the Board has approved the appointment of MAH Chartered Accountants ("MAH") as auditors to the Company with immediate effect.

Gravita Audit Limited has notified the Company that, it does not currently have sufficient capacity to satisfy its regulatory requirements in respect of its engagement with the Company and is, therefore, required to resign as auditor.

Gravita Audit Limited has confirmed that there are no circumstances connected with their resignation which they consider should be brought to the attention of the Company's members or creditors in accordance with Section 519 of the Companies Act 2006.

The Company will change its year end to 31 December to be aligned with its subsidiaries. Therefore, the first annual results for the Group will be for the period ending 31 December 2023, which will be released on or before 30 June 2024. The audited results for the trading subsidiary, Essentially Juices Manufacturing LLC, for the year ended 31 December 2022 are currently being finalised, and the Group will release a summary of these results by way of a trading update on or before 30 June 2023.
