Item 8.01 Other Events.

On May 16, 2006, Aqua America, Inc. announced an agreement with Utilities & Industries Corp., LLC, to acquire the capital stock of New York Water Service Corporation, which provides public water to approximately 135,000 residents in Nassau County, Long Island, New York. The stock purchase agreement provides for a purchase price of $28 million in cash and the assumption of approximately $23 million in debt. Closing the transaction is subject to customary conditions, including regulatory approval by the New York Public Service Commission.
