Stipula patto di sindacato

Vimercate (MB) 24 febbraio 2016 - Esprinet S.p.A. (Borsa Italiana: PRT), per conto dei soci Francesco Monti, Paolo Stefanelli, Tommaso Stefanelli, Matteo Stefanelli, Maurizio Rota e Alessandro Cattani, comunica che i summenzionati soci hanno stipulato un patto di sindacato (il "Patto"), avente ad oggetto n. 16.819.135 azioni ordinarie di Esprinet S.p.A. ("Esprinet" o la "Società"), costituenti complessivamente il 32,095% delle azioni rappresentative dell'intero capitale sociale della Società.

Il Patto ha durata e validità fino al 22 febbraio 2019 e prevede, inter alia, un sindacato di voto per la nomina dei membri che compongono gli organi sociali della Società e un sindacato di blocco disciplinante il trasferimento delle azioni conferite nel Patto.

Nei prossimi giorni si provvederà ad effettuare le pubblicazioni previste ai sensi di legge.

Shareholder agreement signed

Vimercate (MB) February 24rd, 2016 - Esprinet S.p.A. (Italian Stock Exchange: PRT), on behalf of the shareholders Messrs Francesco Monti, Paolo Stefanelli, Tommaso Stefanelli, Matteo Stefanelli, Maurizio Rota and Alessandro Cattani, informs that the aforementioned shareholders have entered into a shareholders' agreement (the "Agreement"), in relation to no. 16.819.135 ordinary shares of Esprinet S.p.A. ("Esprinet" or the "Company"), constituting a total of 32,095% of the shares representing the entire share capital of the Company.

The Agreement has effectiveness and validity until February 22nd, 2019 and provides, inter alia, for an agreement to vote the members of the Company's board of directors and board of statutory auditors and an agreement relating to the transfer of the Company's shares object of the Agreement.

The publications provided by law will be carried out in the coming days.
