Comunicato stampa ai sensi del Regolamento Consob n. 11971/99

Stipulato l'atto di fusione per incorporazione in Esprinet S.p.A. delle società interamente controllate EDSlan S.r.l. e Mosaico S.r.l.

Vimercate (Monza Brianza), 24 ottobre 2018 – Si comunica che in data odierna è stato stipulato l'atto di fusione per incorporazione in Esprinet S.p.A. delle controllate totalitarie EDSlan S.r.l. e Mosaico S.r.l., come da deliberazione in data 19 luglio 2018.

Trattandosi di una fusione per incorporazione "semplificata" di società interamente controllate, si ricorda che ai sensi dell'articolo 2505 comma 2 del Codice Civile e dello Statuto Sociale la delibera è stata adottata dal Consiglio di Amministrazione, mediante atto pubblico, e non dall'Assemblea dei soci.

Ai sensi dall'articolo 2504-bis, secondo comma, del Codice Civile gli effetti della fusione decorreranno dal primo giorno del mese successivo a quello in cui verrà eseguita l'ultima delle iscrizioni previste dall'articolo 2504 del Codice Civile.

Tuttavia, ai sensi dell'articolo 2504-bis, terzo comma, del Codice Civile nonché dell'art. 172 del T.U.I.R., le operazioni effettuate da EDSlan S.r.l. e Mosaico S.r.l. saranno imputate al bilancio di Esprinet S.p.A., ai fini contabili e fiscali, a decorrere dal primo giorno dell'esercizio in corso alla data di efficacia della fusione.

Dal perfezionamento dell'operazione di fusione, Esprinet S.p.A. subentrerà in tutti i rapporti giuridici di EDSlan S.r.l. e di Mosaico S.r.l. assumendone diritti ed obblighi anteriori alla fusione.

Execution of the deed for the merger by incorporation in Esprinet S.p.A. of the wholly owned subsidiaries EDSlan S.r.l. and Mosaico S.r.l.

Vimercate (Monza Brianza), 24 October 2018 – Notice is hereby given that the deed for the merger by incorporation into Esprinet S.p.A. of the wholly-owned subsidiaries EDSlan S.r.l. and Mosaico S.r.l., in accordance with the resolution of the 19 July 2018.

Since this is "simplified" merger by incorporation of the wholly-owned company, pursuant to article 2505, paragraph 2, of the Italian Civil Code and the Articles of Association, the resolution was adopted by the Board of Directors, by means public deed, and not by the Shareholders' Meeting.

Pursuant to article 2504-bis, paragraph 2, of the Italian Civil Code, the merger will be effective from the first day of the month that follows the date in which the last filing under art. 2504 of the c.c. is carried out. However, pursuant to article 2504-bis, paragraph 3, of the Italian Civil Code and also pursuant to article 172 of the Consolidated Income Tax Act, the transactions carried out by EDSlan S.r.l. and Mosaico S.r.l. will be recognized in the financial statements of Esprinet S.p.A., solely for accounting and tax purposes, starting from the first day of the current year upon the effective date of the merger.

Upon completion of the merger, Esprinet S.p.A. shall take over all the legal relationships of EDSlan S.r.l. and Mosaico S.r.l., taking on all the relative rights and obligations in place prior to the merger.
