Comunicato stampa ai sensi del Regolamento Consob n. 11971/99

Vimercate (Monza e Brianza), 4 Agosto 2015 – La Società rende noto che l'amministratore che il 31 luglio scorso aveva impugnato due deliberazioni assunte dal Consiglio di Amministrazione del 4 maggio 2015, con atto di citazione notificato in data 3 agosto 2015 ha altresì impugnato due delibere con cui l'Organo gestionale di Esprinet S.p.A., il 14 maggio 2015, aveva approvato il piano di compenso variabile di alcuni amministratori e manager legato al raggiungimento di taluni obiettivi economico-patrimoniali, anche secondo quanto stabilito dall'assemblea del 30 aprile 2015. Si ricorda che il predetto amministratore è stato designato dai soci di minoranza che hanno impugnato alcune delibere dell'assemblea del 30 aprile 2015, così come comunicato in data 30 luglio 2015.

Vimercate (Monza e Brianza), August 4th 2015 – Esprinet S.p.A. informs that the Director of the Company that on July 31st, 2015 had challenged two resolutions passed by the Board of Directors' meeting held on May 4th, 2015, has also challenged, by serving on August 3rd, 2015 a writ of summon, two resolutions passed by the Board of Directors' meeting held on May 14th, 2015, having as object the approval of an nonfixed remuneration plan, to the benefit of certain Directors and managers of the Company, linked to the occurrence of certain performance targets, also in accordance with what resolved upon by the general shareholders' meeting of the Company held on April 30th, 2015. Esprinet S.p.A. further informs that the aforementioned Director has been appointed after the slate of candidates for the Board of Directors presented by the same minority shareholders who have challenged certain resolutions passed by the general shareholders' meeting of the Company held on April 30th, 2015, as disclosed by the Company on July 30th, 2015.
