Pursuant to subsection 2.20(c) of National Instrument 54-101 – Communication with Beneficial Owners of Securities of a Reporting Issuer (the “Instrument”) and in connection with the annual general meeting (the “Meeting”) of holders of voting shares of ESGold Corp. (the “Corporation”) to be held on December 11, 2025, or any adjournment or postponement thereof, I, Gordon Robb, Chief Executive Officer of the Corporation, hereby certify as follows:

1. that the Corporation is relying on section 2.20 of the Instrument with respect to abridging the time periods prescribed in subsections 2.2(1) and 2.5(1) of the Instrument;
2. that the Corporation has arranged to have the proxy-related materials for the Meeting sent in compliance with the applicable timing requirements in Section 2.9 and 2.12 of the Instrument;
3. the Corporation has arranged to have carried out all the requirements of the Instrument, in addition to those described in paragraph 2.
