Additional Explanations

Şirketimiz Yönetim Kurulu Toplantısında,

1- Ekte yer alan 2021 yılı kâr dağıtım tablosunun onaylanmasına,

2- Sermaye Piyasası Kanunu (SPK) mevzuatına uygun olarak hesaplanan 2021 yılı dönem kârından esas sözleşmemizin 15. maddesi gereği ve SPK tebliğlerine uygun olarak genel kanuni yedek akçe (1.Tertip), yasal yükümlülükler düşüldükten sonra kalan 255.996.725,54-TL tutarındaki net dağıtılabilir dönem kârının aşağıdaki şekilde dağıtılmasına,

Birinci Kâr Payı : 35.000.000-TL

Olağanüstü Yedek : 220.996.726-TL

Kâr dağıtımının yukarıdaki esaslara göre yapılması neticesinde, Vergi Usul Kanunu hükümlerine göre hazırlanan yasal kayıtlarımız esas alındığında ise;

➢ Ortaklara dağıtılacak 35.000.000-TL brüt kâr payının; tamamının net dağıtılabilir dönem kârından karşılanmasına,

➢220.996.726-TL'nin ise olağanüstü yedek olarak ayrılmasına,

Böylelikle 2021 yılı için, 54.300.000-TL sermayeyi temsil eden pay sahiplerine hukuki durumlarına bağlı olarak 35.000.000 TL ve % 64,46 Brüt, 31.500.000 TL ve % 58,01 Net oranında Kâr Payının 06.04.2022 tarihinden itibaren nakden dağıtılması hususunun Genel Kurul onayına sunulmasına karar verilmiştir.

Kamuoyuna saygıyla duyurulur.
