Provision of Financial Assistance

EROAD Limited ( EROAD ) (NZX:ERD) gives notice under section 80(1)(b) of the Companies Act 1993 (the Act ) that it has given financial assistance in accordance with section 80 of the Act by way of providing loans to certain employees of EROAD to fund the purchase of shares in EROAD from EROAD LTI Trustee Limited pursuant to EROAD’s long term incentive plan.

The details of the financial assistance provided by EROAD are as follows:

• 1 financial assistance was provided for the purchase of 280,433 ordinary shares in EROAD;

• 2 the consideration paid or payable for the shares was $2.1226 per share;

• 3 the persons receiving financial assistance were Steven Newman, Jarred Clayton, Tony Warwood, Ken Creager, Mark Heine and Georgina Simmons (being employees of EROAD); and

• 4 the financial assistance was provided by way of interest free loans to the relevant employees, which in aggregate totalled $595,247.09.
