HCI Capital AG concluded an agreement today with its main shareholders, MPC
Münchmeyer Petersen Capital AG, Döhle Group and HSH Nordbank AG, on
carrying out a capital increase. By implementing this agreement the HCI
Group is bringing its restructuring measures successfully to a close and
strengthening the capital base of the Company considerably.

The agreement provides for a capital increase to be carried out for a total
of EUR 11 million from the existing authorised capital; the statutory
subscription right of the existing shareholders will be granted. MPC
Münchmeyer Petersen Capital AG and the Döhle Group have committed to
participate in the capital increase and will cover the entire intended
volume insofar as the other shareholders do not exercise their subscription
rights. In addition, a redistribution of the shares among the main
shareholders has been agreed in order to achieve equal holdings in HCI
Capital AG for MPC Münchmeyer Petersen Capital AG and Döhle Group of 25.1%
each. Following the capital increase, HSH Nordbank AG is to hold a share up
to a maximum of 19.9% in HCI Capital AG.

The execution of the capital increase is subject to various conditions.
Furthermore, MPC Münchmeyer Petersen Capital AG and the Döhle Group
concluded an agreement on the pooling of their voting rights today. Among
other things this agreement as well as the participation of MPC Münchmeyer
Petersen Capital AG and the Döhle Group in the capital increase are under
reserve that the Federal Financial Supervisory Authority (BaFin) relieves
the Döhle Group of the obligation to make a tender offer.
