Havyard Group ASA - Exemption Document

Reference is made to previous stock exchange notices from Havyard Group ASA ("Havyard") regarding the acquisition of HG Group AS and 50% of BKS Holding AS. A total of 47,206,166 new shares in Havyard were issued on 1 July 2022, increasing the number of shares from 24,781,150 to 71,987,316 (par value NOK 0.05).

Pursuant to and in accordance with Article 1 (5) point (e) of Regulation (EU) 2017/1129 (the "EU Prospectus Regulation"), Havyard has prepared an Exemption Document describing key features of the acquisition, and the Exemption Document serves as a prospectus equivalent document in connection with the admission to trading of the consideration shares issued in connection with the acquisition.

The Exemption Document has not been reviewed or approved by any regulatory authority. It does not constitute an offer of or an invitation to purchase any of the company's shares. The Exemption Document is available on www.havyard.com.
