Share capital increase pertaining to the exchange offer registered

Reference is made to Havyard Group ASA's

(the "Company") stock exchange announcements dated 16

June, 30 June, 12 July and 25 July 2016 regarding the

Company's exchange offer whereby the Company has

resolved to issue 2,252,830 new shares in the Company.

The share capital increase was registered with the

Norwegian Register of Business Enterprises today. The

Company's share capital is currently NOK 1,239,057.50

divided into 24,781,150 shares, each with a par value

of NOK 0.05. Each share gives one vote at the

Company's general meeting.

The new shares will be listed on Oslo Børs and be

tradable as of Monday, 5 September 2016.

Fearnley Securities AS has been the manager for the

transaction and Advokatfirmaet Selmer DA has been

engaged as legal advisor for the manager.
