Filing of the statement pursuant to ex article 2444 of the Civil Code and new Company Bylaws. Notice of change in share capital
Milan, May 23rd, 2024
Following the press releases published on May 14th, 2024, and May 23rd, 2024, announcing the acquisition of the remaining minority stake of EQUITA Mid Cap Advisory (formerly EQUITA K Finance), EQUITA Group S.p.A. (the "Company") announces the filing to the Companies' Register of the statement that ascertain the underwriting of share capital increase (the latter resolved by the Board of Directors of the Company on May 14th, 2024, and executed on May 23rd, 2024), pursuant to ex article 2444 of the Civil Code. The Company also announces the filing of the Bylaws to the Company's Register.
The capital increase involved the issue of no. 991,734 ordinary shares of the Company, for a total consideration of €3,599,994.42, of which €225,657.14 as increase in share capital and €3,374,337.28 as share premium reserve. As a result, the Company's share capital – fully paid-in – is €11,919,586.74. represented by no. 52,385,046 ordinary shares.1
