Adesione di nuovi soci al Patto Parasociale EQUITA Group

EQUITA Group S.p.A. ("EQUITA Group" o la "Società") comunica che in data 9 dicembre 2025 gli azionisti Bekim Krasniqi e Marino Marchi hanno aderito al Patto Parasociale EQUITA Group (il "Patto"). Il Patto, in vigore dallo scorso 1° aprile 2025, era stato sottoscritto in data 31 marzo 2025 da 38 azionisti della Società e, in data 7 maggio 2025, da ulteriori 3 azionisti. Per effetto della suddetta adesione, al Patto – rilevante ai sensi dell'Art. 122, comma 1 e comma 5, lett. a) b), c) e d) del TUF sono attualmente conferite n. 19.396.335 azioni ordinarie della Società (pari al 36,8% del capitale sociale) e n. 33.504.154 diritti di voto (pari al 47,5% del totale dei diritti di voto ed al 48,5% dei diritti di voto esercitabili in Assemblea).

New shareholders adhere to the EQUITA Group Shareholders' Agreement

EQUITA Group S.p.A. ("EQUITA Group" or the "Company") announces that on December 9^th, 2025, shareholders Bekim Krasniqi e Marino Marchi have adhered to the EQUITA Group Shareholders' Pact (the "Pact"). The Pact entered into force on April 1^st, 2025, and was initially subscribed by 38 managers (all shareholders of the Company) on March 31^st, 2025. Later, on May 7^th, 2025, other 3 managers adhered to the Pact. As of today, the Pact (relevant under Article 122, paragraphs 1 and 5, letters a) b), c) and d) of the TUF) represents No. 19,396,335 ordinary shares of the Company (36.8% of the share capital) and No. 33,504,154 voting rights (47.5% of the total voting rights and 48.5% of the votes castable during the Shareholders' Meeting).
