("Calibre") by way of a proposed plan of arrangement under the Business Corporations Act (British Columbia) (the "Arrangement") involving the Company and Calibre, pursuant to the terms and subject to the conditions of the arrangement agreement dated February 23, 2025 between the Company and Calibre.
