ISSUE OF SHARES

On 11 September 2007 Icon Resources Ltd (Icon) announced that it had acquired the Foresthome exploration permit (EPM13961) which contains the Develin Creek copper-zinc deposits in central Queensland. Icon had also applied for a large area of prospective ground surrounding Foresthome, which includes continuation of the prospective horizon (EMPA16665).

The acquisition cost was reported as was 1.5 million Icon shares. The consideration was payable when the permit was registered in Icon's name. This registration has now taken place and the 1.5 million shares have been issued to the vendor.

A copy of Appendix 3B as required by Listing Rule 3.10.3 is attached.

Issue of Icon Shares – Secondary Trading Notice Pursuant to Section 708A(5)(e) of the Corporations Act 2001 (“Act”)

On 21 December 2007, Icon issued 1,500,000 fully paid ordinary shares (“Securities”).

Secondary Trading Exemption

The Act restricts the on-sale of securities issued without disclosure, unless the sale is exempt under section 708 or 708A. By the Company giving this notice, a sale of the Securities noted above will fall within the exemption in section 708A(5) of the Act.

The Company hereby notifies ASX under paragraph 708A(5)(e) of the Act that:

  • a) the Company issued the Securities without disclosure to investors under Part 6D.2 of the Act;

  • b) the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company, and section 674 of the Act; and

  • c) there is no information:

  • i) that has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and

  • ii) that investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

  • the rights and liabilities attaching to the Securities.

Quotation agreement
