AND TO: The Securities Commission or Similar Regulatory Authority in the Provinces of British Columbia, Alberta, Saskatchewan, Manitoba, New Brunswick, Nova Scotia, Prince Edward Island and Newfoundland and Labrador (together with Ontario, the “Offering Jurisdictions”)

The undersigned is the duly appointed Chief Executive Officer of the Issuer and hereby certifies, on behalf of the Issuer, and not in his personal capacity, that:

1. the Issuer is relying on Section 2.2 of National Instrument 44-101 Short Form Prospectus Distributions (“ NI 44-101 ”) in order to be qualified to file a prospectus in the form of a short form prospectus for the distribution of its securities in each of the Offering Jurisdictions;

2. the Issuer has satisfied all of the qualification criteria set out in Section 2.2 of NI 44-101; and

3. all of the material incorporated by reference in the preliminary short form prospectus of the Issuer has been filed in each of the Offering Jurisdictions.
