The shares vest evenly at each anniversary of the grant date (7/1/2023, 7/1/2024, and 7/1/2025) as long as Mr. Lovoi continues service with the Board of Epsilon at each applicable vesting date. Otherwise, the Restricted Stock Grant will be forfeited.
