F1: The Reporting Person acquired the shares reported in this Form 3 pursuant to a Purchase and Sale Agreement dated as of November 2, 2016 by and among the Reporting Person, the Issuer and certain other parties thereto, as disclosed by the Reporting Person in a Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission (Commission) on November 2, 2016. In accordance with the Purchase and Sale Agreement, the Reporting Person's stockholders approved a sale of the remaining assets and plan of liquidation and dissolution. The Reporting Person will distribute the shares to the stockholders of record of the Reporting Person on or around April 20, 2017 as part of the dissolution of the Reporting Person. The Reporting Person disclaims beneficial ownership of the shares reported in this Form 3.
